Capital One has made waves across the financial services industry by announcing a definitive agreement to acquire Discover Financial Services in a cash and stock transaction valued at approximately $35.3 billion. Under the terms of the acquisition deal revealed late Monday evening, Discover shareholders will receive 1.01 shares of Capital One common stock for each share of Discover stock they currently hold, which represents a nearly 27% premium over Discover’s closing share price last Friday.
The blockbuster deal, if approved by financial regulators in late 2024 or early 2025, as currently expected, would give Capital One an entirely new in-house payment processing operation to compete head-to-head with the dominant credit card networks like Visa and Mastercard. It also further cements Capital One’s position as a credit card-issuing powerhouse against Wall Street titans like JPMorgan Chase, Bank of America and Citigroup. Discover not only issues its own set of consumer credit cards but also operates the fourth largest payment processing network in the country behind the aforementioned Visa, Mastercard and American Express.
After the acquisition is finalized, Capital One cardholders will likely see more of their credit cards transitioned over to the Discover network from partners like Visa and Mastercard. The deal provides Capital One with an important new revenue stream by collecting merchant transaction fees directly through its own payment network. Analysts say Capital One founder and CEO Richard Fairbank has made a bold strategic play to capture more control and value across the credit card transaction ecosystem. It remains to be seen how competitors, partners and regulators fully respond to his $35+ billion gambit to acquire Discover.
